Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Dealer Backstock platform, including the website at dealerbackstock.com and the application at app.dealerbackstock.com (collectively, the “Platform”).

By creating an account or using the Platform, you agree to these Terms on behalf of yourself and the dealership you represent. If you do not agree, do not use Dealer Backstock.

“You” and “your” refer to the licensed dealer, wholesaler, or qualified buyer using the Platform. “We,” “us,” and “our” refer to Dealer Backstock, LLC.

1. Who Can Use Dealer Backstock

1.1 Eligibility

Dealer Backstock is a business-to-business platform. To create an account and access the marketplace, you must:

• Be a licensed RV or trailer dealer, wholesaler, or qualified buyer operating in the United States or Canada.
• Provide accurate dealer credentials and licensing information during registration.
• Pass our dealer verification process before receiving full platform access.
• Be at least 18 years of age and legally authorized to enter contracts on behalf of your business.

Consumer accounts and retail-only buyers are not eligible. Dealer Backstock reserves the right to deny or revoke access to any account that does not meet these requirements.

1.2 Account Accuracy

You are responsible for keeping your account information — including dealership name, address, license numbers, and contact details — accurate and current. Providing false or misleading information is grounds for immediate account termination.

1.3 Account Security

You are responsible for maintaining the security of your login credentials. Do not share your password. Notify us immediately at support@dealerbackstock.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.

2. Dealer Verification

2.1 Verification Requirement

All dealers must complete our verification process before posting listings or accessing the full buyer network. Verification may include review of dealer licenses, state or provincial registrations, and other business credentials.

2.2 Ongoing Compliance

Your continued access to Dealer Backstock is conditioned on maintaining valid dealer licensing. If your license lapses, is suspended, or is revoked, you must notify us immediately and cease using the Platform in any transactional capacity.

2.3 Misrepresentation

Misrepresenting your dealer status, license standing, or business identity is a material breach of these Terms and will result in immediate account termination and may be reported to applicable licensing authorities.

3. Platform Use

3.1 Permitted Use

You may use Dealer Backstock to:

• List RV and trailer inventory for wholesale sale.
• Search, view, and inquire about inventory listed by other verified dealers.
• Communicate directly with other dealers about listed units.
• Set up and receive real-time inventory alerts.

3.2 Prohibited Conduct

You may not:

• Post listings for units you do not own or have authority to sell.
• List stolen, salvage-titled, or fraudulently misrepresented inventory.
• Use the Platform to collect competitor pricing data for purposes other than genuine purchasing.
• Scrape, crawl, or systematically extract data from the Platform.
• Attempt to circumvent the subscription or verification system (e.g., creating multiple accounts for a single location to exceed plan limits).
• Harass, threaten, or misrepresent yourself to other dealers in communications.
• Use the Platform for any purpose that violates applicable law.

3.3 Listing Accuracy

You are solely responsible for the accuracy of your listings, including unit descriptions, condition disclosures, title status, pricing, and photos. Dealer Backstock does not inspect units and makes no representations about listing accuracy.

3.4 Transactions

Dealer Backstock is a marketplace that facilitates introductions between buyers and sellers. We are not a party to any transaction between dealers. All deals are made directly between you and the other dealer. You are solely responsible for conducting appropriate due diligence, negotiating terms, arranging transportation, and completing transfers in compliance with applicable law.

4. Subscriptions and Billing

4.1 Plans

Dealer Backstock offers a Free plan and paid subscription plans as described on the Pricing page at dealerbackstock.com/price/. Plan features, listing limits, and inquiry limits are defined by your selected plan.

4.2 Billing

Paid plans are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. All fees are in US dollars.

4.3 No Commissions

Dealer Backstock charges a flat subscription fee only. We take no commission, buyer’s premium, or transaction fee on deals made through the Platform.

4.4 Changes and Cancellations

You may upgrade, downgrade, or cancel your plan at any time. Changes take effect at the start of your next billing cycle. We do not offer prorated refunds for unused time on the current billing cycle unless required by applicable law.

4.5 Failed Payments

If a payment fails, we will attempt to notify you and retry. Access to paid features may be suspended until payment is resolved. Accounts with repeated payment failures may be downgraded to the Free plan or terminated.

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of the content you post on Dealer Backstock (listings, photos, descriptions). By posting content, you grant Dealer Backstock a non-exclusive, royalty-free, worldwide license to display, distribute, and use that content to operate and promote the Platform — including showing your listings to other verified dealers and in marketing materials illustrating the marketplace.

5.2 Our Content

All platform software, design, trademarks, and content produced by Dealer Backstock is owned by Dealer Backstock, LLC. You may not copy, reproduce, or redistribute it without our written permission.

5.3 Removal

We reserve the right to remove any listing or content that violates these Terms or that we determine, in our sole discretion, is harmful to the Platform or its users.

6. Disclaimers

The Platform is provided “as is” and “as available.” Dealer Backstock makes no warranties, express or implied, about the reliability, accuracy, or fitness for a particular purpose of the Platform or any listing on it.

We do not guarantee:

• That the Platform will be uninterrupted or error-free.
• That any particular inventory will be available, accurately described, or sold at any listed price.
• That all dealers on the Platform are in good standing at any given time (though we make reasonable efforts to verify them).

7. Limitation of Liability

To the maximum extent permitted by law, Dealer Backstock, LLC and its officers, employees, and agents are not liable for:

• Any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
• Any losses resulting from transactions between dealers facilitated by the Platform.
• Any losses resulting from unauthorized access to your account.

Our total liability to you for any claim arising out of these Terms or your use of the Platform is limited to the amount you paid to us in the three months immediately preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Dealer Backstock, LLC and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Platform.
• Your listings or any content you post.
• Any transaction you enter into with another dealer.
• Your violation of these Terms or applicable law.

9. Termination

9.1 By You

You may close your account at any time by canceling your subscription and contacting support@dealerbackstock.com.

9.2 By Us

We may suspend or terminate your account at any time if we determine you have violated these Terms, engaged in fraudulent conduct, or posed a risk to other dealers or the Platform. We will provide notice where practicable.

9.3 Effect of Termination

Upon termination, your access to the Platform ends. Listings will be removed. Provisions that by their nature survive termination (including Sections 5, 6, 7, 8, and 10) will remain in effect.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of Dealer Backstock will be resolved through binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association. You waive any right to a jury trial or class action in connection with any dispute under these Terms.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Platform at least 14 days before the changes take effect. Continued use of Dealer Backstock after the effective date constitutes acceptance of the updated Terms.
