End User License Agreement (EULA)

This End User License Agreement (“EULA”) governs your use of the Dealer Backstock software application, including the web application at app.dealerbackstock.com and any associated tools, features, or services provided by Dealer Backstock, LLC (“Dealer Backstock,” “we,” “us”).

By accessing or using the Dealer Backstock application, you agree to be bound by this EULA. If you do not agree, do not use the application.

This EULA applies alongside our Terms of Service and Privacy Policy, both available at dealerbackstock.com.

1. License Grant

Subject to your compliance with this EULA and your active subscription (or use of the Free plan), Dealer Backstock grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Dealer Backstock web application for your internal business purposes.
  • List, browse, search, and inquire about wholesale RV and trailer inventory through the Platform.
  • Receive alerts, send messages, and use features available under your subscription plan.

This license is granted solely for legitimate wholesale dealer-to-dealer commerce. No other use is permitted.

2. License Restrictions

You may not:

  • Copy or redistribute the application, its underlying code, design, or proprietary systems.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the application.
  • Modify or create derivative works based on the application or any of its components.
  • Sublicense or resell access to the application or any of its features to any third party.
  • Automate access through bots, scrapers, crawlers, or any means not expressly authorized by Dealer Backstock in writing.
  • Frame or mirror any portion of the application on another website or application.
  • Use the application in any way that violates applicable law, infringes third-party rights, or violates our Terms of Service.

3. Ownership

The Dealer Backstock application — including all software, interfaces, algorithms, databases, and content created by Dealer Backstock — is and remains the exclusive property of Dealer Backstock, LLC. This EULA does not transfer any ownership rights to you. You receive only the limited license described in Section 1.

All trademarks, service marks, logos, and trade names associated with Dealer Backstock are owned by Dealer Backstock, LLC. Nothing in this EULA grants you any right to use them without our prior written consent.

4. Your Content

You retain ownership of the content you submit through the application (listings, photos, vehicle descriptions, messages). By submitting content, you grant Dealer Backstock a license to use it as described in our Terms of Service.

You are solely responsible for ensuring that content you submit:

  • Does not infringe third-party intellectual property rights.
  • Does not violate applicable federal, state, or provincial law.
  • Accurately represents the inventory or information you are listing and does not contain material misrepresentations.

5. Updates and Changes

Dealer Backstock may update, modify, or discontinue features of the application at any time. We will make reasonable efforts to communicate material changes in advance where practicable. Continued use of the application after an update constitutes acceptance of the updated version.

We are not obligated to maintain any particular feature, integration, or version of the application. We are not liable for any disruption to your operations resulting from updates, modifications, or the discontinuation of features.

6. Third-Party Services

The application may integrate with or link to third-party services, including payment processors, SMS providers, and mapping tools. Your use of those services is governed by their respective terms and privacy policies. Dealer Backstock is not responsible for the performance, security, availability, or data practices of any third-party service.

7. Suspension and Termination

7.1 Termination by You

You may stop using the application at any time by canceling your subscription and closing your account.

7.2 Termination by Dealer Backstock

We may suspend or terminate your license at any time if you violate this EULA, our Terms of Service, or applicable law. We may also suspend access in response to suspected fraud, security threats, or misuse — with or without prior notice depending on the severity of the situation.

7.3 Effect of Termination

Upon termination of your license, you must immediately cease all use of the application. Any data you have submitted may be retained or deleted in accordance with our Privacy Policy. Sections 3, 4, 8, 9, 10, and 11 survive termination of this EULA.

8. Disclaimer of Warranties

The application is provided “as is” and “as available” without warranty of any kind. To the fullest extent permitted by applicable law, Dealer Backstock disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that:

  • The application will be available at all times or free from interruptions, errors, or security vulnerabilities.
  • Any data processed through the application will be completely accurate or free from corruption.
  • The application will meet your specific operational requirements.

Some jurisdictions do not permit the exclusion of implied warranties. In those jurisdictions, the above disclaimers apply only to the extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Dealer Backstock, LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the application, including loss of data, lost profits, lost revenue, or business interruption, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from this EULA is limited to the total fees you paid to Dealer Backstock in the three months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

10. Governing Law

This EULA is governed by the laws of the State of Arizona, without regard to conflict of law principles. Disputes arising from this EULA are subject to the dispute resolution provisions in our Terms of Service, including the binding arbitration and class action waiver provisions contained therein.

11. General Provisions

Entire Agreement. This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Dealer Backstock regarding your use of the application and supersedes any prior representations, agreements, or understandings relating to the application.

Severability. If any provision of this EULA is found unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any provision of this EULA will not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign or transfer your rights under this EULA without our prior written consent. Dealer Backstock may assign its rights and obligations freely, including in connection with a merger, acquisition, or sale of assets.

Export Compliance. You agree to comply with all applicable export control laws and regulations in your use of the application. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade embargo.

12. Changes to This EULA

We may update this EULA from time to time. We will notify you of material changes by email or by posting a notice in the application before the changes take effect. Continued use of the application after the effective date of the updated EULA constitutes acceptance. If you do not agree to the updated EULA, you must stop using the application.
